1. Definitions
BoekSolutions: the supplier of software and services. Customer: the natural or legal person entering into an agreement with BoekSolutions. Software: applications developed by BoekSolutions, including the Sheet Set Editor.
2. Applicability
These terms apply to all quotes, offers, agreements and deliveries. Deviations only apply when explicitly agreed in writing.
3. Offers and quotes
Offers are non-binding and valid for 30 days unless stated otherwise. Prices are in euros and exclude VAT.
4. Delivery and performance
- Software is delivered digitally by download or license code.
- Delivery times are indicative and never absolute deadlines.
- Beta software is offered "as is" without continuity guarantee.
5. Payment
Invoices must be paid within 14 days of the invoice date unless otherwise agreed in writing.
6. Liability
BoekSolutions is not liable for indirect damages, including lost profits, data loss or consequential damage. Direct damages are limited to at most the invoice amount over the last three months.
7. Intellectual property
All rights to the software remain with BoekSolutions. The customer receives a right of use as described in the accompanying EULA.
8. Applicable law
Dutch law applies to all agreements. Disputes are brought before the competent court in the district where BoekSolutions is established.
